FANKADO PARTNER / CREATOR REFERRAL PROGRAM AGREEMENT

1. Overview

This Partner / Creator Referral Program (the “Program”) rewards select, invited participants (“Partner,” “you”) who refer new creators or customers to Fankado. Participation is by invitation only and subject to these Terms and Conditions. By clicking “I Agree,” Partner acknowledges and accepts these terms and the incorporated Fankado Terms of Service.

2. Referral Fees

Partner will earn 10% of Fankado’s net revenue from referred creators or customers. “Net revenue” means Fankado’s share of sales (currently 20% of total net proceeds after refunds, chargebacks, and taxes). Aggregate referral fees are capped at USD $2,000,000 per Partner. Referral fees are payable for the lifetime of the referred relationship, subject to the above cap and ongoing compliance.

3. Payment and Reporting

Referral fees will be calculated and paid quarterly, provided accrued earnings exceed $250. Payments will be made via ACH, PayPal, or other approved methods. Fankado may require completion of IRS Form W-9 or W-8BEN before payment. Quarterly statements summarizing earnings will be provided.

4. Buyout Option

You acknowledge and agree that Fankado may elect to buy out future referral rights for a lump-sum payment in an amount equal to Partner’s trailing twelve (12) month referral earnings.

5. Term and Termination

Either party may terminate participation by written notice. Partner remains entitled to referral fees accrued prior to termination. Fankado may withhold payments in cases of fraud, misrepresentation, or violation of these terms.

6. Relationship of the Parties

Partner acts as an independent contractor and not as an employee, agent, or representative of Fankado. Partner has no authority to bind or obligate Fankado in any manner.

7. Limitation of Liability

To the maximum extent permitted by law, Fankado’s total liability under this Agreement will not exceed the total unpaid referral fees owed at the time of claim.

8. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

9. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the Program and supersedes all prior communications, representations, or agreements.
